1. Scope and contract structure

These Terms govern access to and use of the Beyond Clock platform by Customers and their Authorized Users, including account access, report request workflows, secure file uploads, dashboards, and related support and operational features.

If a Customer signs an order form, master services agreement, or Data Processing Terms, those documents supplement these Terms. If there is a direct conflict, the signed commercial agreement controls over these public Terms.

By accessing or using the service, you agree to these Terms on your own behalf and, if applicable, on behalf of the Customer you represent. If you do not have that authority, do not use the service.

2. Defined terms

Customer
The organization that purchases, receives, or otherwise authorizes use of the Beyond Clock service.
Authorized User
An employee, contractor, clinician, researcher, or other individual whom the Customer permits to access the service under its account.
Customer Data
Information, files, biomarker values, survey responses, demographics, identifiers, and related metadata submitted to or made available through the service by or for the Customer.
Report Output
Reports, scores, visualizations, benchmarks, exports, and related outputs generated by the service for a Customer workflow.
De-identified Data
Data derived from Customer Data after direct identifiers have been removed or reduced, but that may still remain linkable or reasonably capable of re-identification if combined with other information. De-identified Data is not the same as anonymized data.
Anonymized/Aggregated Data
Data that has been irreversibly altered, generalized, or combined so that an individual is not reasonably identifiable by Beyond Clock or a recipient using available means.
Service Improvements
Improvements to the service, software, models, workflows, documentation, security controls, and related know-how developed from operating and improving the platform, excluding Customer Data and Report Output in identifiable form.

3. Customer accounts and Authorized Users

The Customer is responsible for selecting Authorized Users, managing access rights, and promptly removing access when it is no longer needed. Authorized Users may use the service only for the Customer's internal business, clinical, research, or operational purposes that are permitted by the Customer.

Each user must protect account credentials and magic-link access details. The Customer remains responsible for activity taken through its accounts and for ensuring that all Authorized Users comply with these Terms.

4. Permitted use and restrictions

The service may be used only as authorized by Beyond Clock and the Customer. You must not:

  • use the service for unlawful, deceptive, abusive, or infringing purposes;
  • upload or disclose Customer Data that you are not authorized to handle;
  • attempt to defeat security controls, access another customer's environment, or interfere with service availability;
  • reverse engineer, scrape, benchmark, or extract source code, models, or non-public system behavior except where applicable law clearly permits it; or
  • use the service to build a competing dataset, model, or service from non-public outputs or platform behavior.

5. Customer Data, instructions, and sensitive information

The Customer is responsible for determining what Customer Data to submit to the service and for ensuring that it has all required rights, notices, consents, authorizations, and other lawful bases needed to collect, upload, store, process, and disclose that data to Beyond Clock.

This includes any health-related, biomarker, survey, demographic, patient, member, participant, or other sensitive information uploaded or entered into the service. The Customer is also responsible for the accuracy of submitted Customer Data and for limiting submissions to data reasonably necessary for the requested workflow.

Beyond Clock may process Customer Data only as needed to host, secure, support, review, generate, validate, and deliver the service, subject to these Terms, the Privacy Policy, and any applicable signed data processing terms.

6. Report Output and decision-support limitations

Beyond Clock provides health analytics and decision-support tools. Report Output is intended to inform wellness, screening, operational, and research workflows. It is not a medical device claim, diagnosis, treatment plan, prescription, or substitute for professional medical judgment.

The Customer and its professionals remain responsible for deciding whether and how to rely on Report Output, for reviewing unusual results, and for making any downstream care, program, research, or commercial decisions.

7. Ownership, retained rights, and improvement use

As between the parties, the Customer retains all rights, title, and interest in its Customer Data and Report Output. Beyond Clock and its licensors retain all rights, title, and interest in the service, software, models, documentation, branding, and Service Improvements.

The Customer grants Beyond Clock a limited right to process Customer Data to provide, maintain, secure, support, and improve the service. Unless a signed enterprise agreement says otherwise, this includes creating and using De-identified Data for internal quality assurance, workflow refinement, validation, model evaluation, and product improvement.

Beyond Clock may also create and use Anonymized/Aggregated Data for benchmarking, analytics, research, population insights, and commercial reporting, provided that the resulting data does not reasonably identify an individual or Customer. Beyond Clock will not describe De-identified Data as anonymized if it could still reasonably be re-identified.

8. Confidentiality, security, and service changes

Each party must protect the other party's non-public business, technical, and operational information using reasonable care. Beyond Clock will maintain administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, loss, misuse, or disclosure.

Beyond Clock may update, improve, suspend, or discontinue features, workflows, APIs, or file-handling practices from time to time, including for security, operational, legal, or product reasons. Unless separately agreed in writing, turnaround targets and availability expectations are objectives only and not service-level commitments.

9. Fees, suspension, and termination

Commercial terms, usage limits, and payment obligations are set out in the applicable order form, pricing page, or other written agreement. Beyond Clock may suspend or restrict access for non-payment, misuse, security concerns, legal risk, or a material breach of these Terms.

On termination or expiration, Authorized User access will end and Beyond Clock will handle Customer Data return, deletion, and retention in accordance with the applicable contract, the Data Processing Terms, and the Privacy Policy.

10. Disclaimers, liability, and governing law

To the maximum extent permitted by law, the service is provided on an as-is and as-available basis, and Beyond Clock disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. No system is free from defects or security risk.

To the maximum extent permitted by law, Beyond Clock is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data arising from or related to the service. Liability limits in a signed enterprise agreement will control over these public Terms if they differ.

These Terms are governed by the laws of Singapore, excluding its conflict-of-laws rules. The courts of Singapore will have exclusive jurisdiction, unless a signed agreement states otherwise. Beyond Clock may update these Terms from time to time, and material changes may be communicated through the service or by other reasonable means.
